Agreement to Terms

PLEASE READ THESE TERMS CAREFULLY. THEY CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND CLOUD 9 HOLDINGS LIMITED. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

0. Apple‑Specific Acknowledgement

This End‑User License Agreement ("EULA") is concluded between Cloud 9 Holdings Limited ("Aya Chat", "we", "us") and you—not with Apple Inc. Apple Inc. ("Apple") is not a party to this agreement and bears no responsibility for Aya Chat or its content.

1. Who We Are

These Terms & Conditions (the "Terms") apply to the use and access of the products and services—including, without limitation, content, outputs, features, and services (collectively, the "Products")—that Cloud 9 Holdings Limited and its subsidiaries and affiliates ("Aya Chat," "us" or "we") offer via the Aya Chat mobile application (the "App") (collectively the "Services"). Cloud 9 Holdings Limited is a Hong Kong limited‑liability company.

Our mission is to create a reliable and user‑friendly tool through which you can improve your relationship with Islamic knowledge and practice. Our Services include, without limitation, access to features such as Quran reading mode, prayer times, discovering Quranic verses and teachings, and interacting with an AI chatbot that draws from Quranic knowledge to answer various questions from an Islamic perspective.

2. Definitions

Account means your user account on our App through which you access our Services.

App means the Aya Chat mobile application and any associated websites, software, or platforms.

Content means all text, data, information, software, graphics, photographs, and other materials that appear on or are accessible through the Services.

Input means any content, data, text, files, documents, photos, images, or other materials you provide to our Services.

Member means a registered user of our Services.

Output means content generated by our AI services based on your Inputs.

Personal Information means information that identifies, relates to, describes, or could reasonably be linked with you.

Services means all features, content, applications, and services offered by us through the App.

User Content means any content that you submit, post, or otherwise make available through the Services.

3. License Grant (Apple Usage Rules)

We grant you a limited, non‑exclusive, non‑transferable, revocable license to install and use Aya Chat solely on any Apple‑branded products that you own or control and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions. You may not sublicense, rent, lease, lend, sell, redistribute, or make the App available to third parties except as expressly allowed in the Usage Rules.

4. Services

Aya Chat provides AI‑powered Islamic guidance and educational content through our mobile application. Our Services include:

  • AI chatbot interactions for Islamic questions and guidance

  • Quran reading and study features

  • Prayer times and Islamic calendar

  • Educational content about Islamic teachings

  • Personalized Islamic learning experiences

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice. We are not liable for any modification, suspension, or discontinuation of the Services.

5. Membership

You must be 18 years or older to use the Services. If you are a parent or legal guardian of a user under the age of majority, you are subject to these Terms and are responsible for your child's activity.

To access the Services, you must create an Account via our App. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. Notify us immediately of any unauthorized use.

We may refuse service, terminate Accounts, or remove or edit content at our sole discretion.

6. Subscriptions & Purchases

Much of the Service is available only via a free trial followed by a paid, auto‑renewing subscription.

  • Billing & Renewal. Subscriptions are billed through your Apple App Store or Google Play Store account no earlier than 24 hours before the current period ends and renew automatically unless cancelled at least 24 hours before renewal.

  • Managing Your Subscription. You can manage or cancel your subscription at any time in iOS Settings › [Your Name] › Subscriptions (or the comparable screen on Android).

  • Free Trial. Any unused portion of a free‑trial period is forfeited when you purchase a subscription.

  • Refunds. Subscription fees are non‑refundable except as required by law or as otherwise stated in these Terms. In the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price; Apple will have no further warranty obligation whatsoever.

  • Price Changes. We will give advance notice of price changes; the new price takes effect on your next billing cycle. Continued use after a price change constitutes acceptance.

7. User Content & Feedback

You retain ownership of your User Content. By providing User Content, you grant us a worldwide, royalty‑free, sublicensable licence to use, copy, modify, and distribute it solely to provide and improve the Services.

You represent that you have the necessary rights to your User Content and that it does not violate any law or third‑party right. We may remove content that violates these Terms.

Feedback

If you choose to send us ideas, suggestions or other feedback ("Feedback"), you grant us an exclusive, worldwide, royalty‑free, perpetual, irrevocable licence to use, reproduce, display, perform, adapt, modify, distribute, and otherwise exploit the Feedback for any purpose, including to improve the Services, without any obligation to you.

8. AI‑Generated Content & Outputs

Outputs are generated by AI based on your Inputs. They may contain errors and should not be considered professional religious, legal, or medical advice.

You may use Outputs for any lawful purpose, but we do not guarantee their accuracy or suitability.

We may use anonymized and aggregated interaction data to improve our Services and AI models.

9. Privacy & Data Protection

Our collection and use of your Personal Information is governed by our Privacy Policy, which forms part of these Terms. By using the Services you consent to that policy.

10. Acceptable Use

You agree not to:

  1. Post or transmit content that violates Islamic principles, promotes hatred, discrimination, or harm.

  2. Use the Services in a way that disrespects Islamic teachings.

  3. Reverse‑engineer or attempt to extract source code.

  4. Use the Services for commercial purposes without written permission.

  5. Interfere with or disrupt the Services.

  6. Attempt unauthorized access to the Services or related systems.

  7. Violate any law or impersonate any person.

  8. Engage in any deceptive, unethical, or harmful activity, including spreading malware or harvesting data.

We may investigate and take action, including termination and law‑enforcement referral.

11. Intellectual Property

The Services and all content are owned by Cloud 9 Holdings Limited or its licensors and are protected by intellectual‑property laws. Our trademarks and trade dress may not be used without prior written consent.

12. Third‑Party Services & Terms

The Services may contain links or integrations with third‑party services. We do not control those services and are not responsible for their content or policies. You must comply with any applicable third‑party terms of agreement, such as your wireless‑data‑service agreement, when using the Services.

13. Notice & Takedown (DMCA & Illegal Content)

We respect intellectual‑property rights and expect users to do the same.

  • Copyright Notices (DMCA). If you believe content accessible through the Services infringes your copyright, please send a notice to hello@cloud9labs.co with (i) your signature, (ii) identification of the work claimed to be infringed, (iii) identification of the material that is infringing (URL), (iv) your contact information, (v) a statement of good‑faith belief that the use is not authorized, and (vi) a statement under penalty of perjury that the information is accurate and that you are the copyright owner or authorized to act.

  • EU Digital Services Act. EU residents may submit an Illegal‑Content notice to the same email address including (i) explanation why the content is illegal, (ii) exact URL, (iii) your name and email, and (iv) a good‑faith statement of accuracy. We will acknowledge receipt and act expeditiously.

We may remove or disable access to allegedly infringing or illegal content and will notify affected users when legally required.

14. Disclaimers & Assumption of Risk

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT UNINTERRUPTED, ERROR‑FREE OPERATION OR THE ACCURACY OF INFORMATION. YOUR USE IS AT YOUR OWN RISK.

Aya Chat offers spiritual and educational information only. We are not healthcare professionals and do not provide medical, psychological, or other professional advice. By using the Services, you acknowledge that you assume full responsibility for your physical, mental, and spiritual wellbeing and any decisions you make based on the information provided.

In the event of any failure of the App to conform to any applicable warranty, Apple's sole obligation will be to refund the purchase price you paid through the App Store, and, to the maximum extent permitted by law, Apple will have no other liability.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLOUD 9 HOLDINGS LIMITED SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

16. Maintenance & Support

We, not Apple, are solely responsible for providing maintenance and support for Aya Chat. Direct all support questions to hello@cloud9labs.co.

17. Product Claims

Cloud 9 Holdings Limited is solely responsible for addressing any claims relating to Aya Chat or your possession or use of it, including product‑liability, legal‑compliance, or consumer‑protection claims.

18. Intellectual‑Property Infringement

We, not Apple, will be responsible for the investigation, defence, settlement, and discharge of any third‑party claim that Aya Chat infringes that third party's intellectual‑property rights.

19. Export & Sanctions Compliance

You represent that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist‑supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties.

20. Indemnification

You agree to indemnify, defend, and hold harmless Cloud 9 Holdings Limited and its officers, directors, employees, agents, and affiliates from any claims or damages arising from your use of the Services, your violation of these Terms, or your violation of any third‑party right.

21. Termination

You may terminate your Account at any time. We may suspend or terminate your Account immediately for any breach of these Terms. Upon termination, your right to use the Services ceases immediately.

22. Dispute Resolution; Statute of Limitations & Class‑Action Waiver

Any dispute arising out of these Terms will be settled by binding arbitration under the rules of the Hong Kong International Arbitration Centre (HKIAC). The arbitration will be conducted in English in Hong Kong. We may seek equitable relief in any court of competent jurisdiction to protect our intellectual‑property rights.

Limitation Period. Any claim or dispute must be filed within one (1) year after the cause of action arises, otherwise the claim is permanently barred.

Class‑Action & Jury‑Trial Waiver. You agree to bring disputes only in your individual capacity, not as a plaintiff or class member in any class or representative proceeding, and you waive the right to a trial by jury.

23. Governing Law

These Terms are governed by the laws of Hong Kong, without regard to its conflict‑of‑law rules. Courts in Hong Kong have exclusive jurisdiction over any litigation not subject to arbitration.

24. Changes to Terms

We may modify these Terms at any time by posting updated Terms within the App. Changes are effective immediately unless stated otherwise. Your continued use constitutes acceptance.

25. Third‑Party Beneficiary (Apple)

Apple and its subsidiaries are third‑party beneficiaries of this EULA and, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third‑party beneficiary.

26. Severability & Waiver

If any provision is held invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any right or provision will not be deemed a waiver.

27. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Cloud 9 Holdings Limited regarding the Services and supersede prior agreements.
